The impact you'll have:


The Associate General Counsel works within the legal department of a fast-paced IT systems integrator, supporting outbound licensing and sales transactions for the company's Canadian public sector customers. This position reports directly to the Chief Counsel – Public Sector. This position negotiates and drives strategic transactions and a significant volume of sales/revenue agreements while supporting compliance with Canadian and international laws, rules, and regulations, and creates and trains employees on company policies related to contracting. The Associate General Counsel works directly with the business, providing day-to-day advice for senior executives and other business members on government contracting issues, resolving issues that arise in existing relationships, and handling pre-litigation legal disputes and inquiries.

 

What you'll do: 


• Negotiates and drives strategic transactions and sales/revenue agreements for public sector customers. 

 

• Supports compliance with Canadian and international contracting laws, rules, and regulations 

 

• Creates company policies related to contracting and trains employees 

 

• Works directly with the business, providing day to day advice for senior executives and other business members on contracting issues and focuses that legal analysis and advice on assisting business leaders as they evaluate and manage risk.   

 

• Applies seasoned legal and business judgment to complex public sector transactions, balancing commercial objectives with procurement, compliance, and risk considerations. 

 

• Brings deep knowledge of Canadian public sector contracting practices, market norms, and negotiation dynamics to support practical decision-making. 

 

• Leads negotiation of high value strategic technology and services agreements with public sector customers. 

 

• Partners with Sales and leadership to structure transactions, anticipate issues, navigate ambiguity and resolve contracting issues and matters with sound judgment in a fast-paced environment. 


What you'll bring to the table:

 

Education

  • Juris Doctor (or equivalent)
  • A combination of education, training and experience may be considered in lieu of a degree.

 

Work Experience

  • A minimum of 7–10 years’ progressive experience in a related field.

 

Other Work Experience

  • Must be a lawyer qualified to practice in at least one Canadian Province or Territory, and have a law degree from a reputable law school.
  • Should have substantive legal knowledge and the ability to counsel Sales and other key stakeholders in the following areas: Canadian public sector procurement rules and regulations, technology contracts, licensing, data privacy and security, and intellectual property. Experience with public sector technology transactions and procurement rules and regulations in jurisdictions in addition to Canada (especially other Commonwealth countries) would also be beneficial.

 

Licenses and Certifications

  • Licensed Attorney (varies by Province/Territory)
  • Candidates must be eligible to obtain and maintain a Canadian government security clearance. An active Canadian government security clearance (Reliability Status or higher) is preferred.

  • Proactive, able to provide innovative solutions that balance legal and business concerns, enjoy working hard and being challenged, have strong written and oral communication skills, demonstrate sound and pragmatic judgment in ambiguous situations, and have a healthy sense of humour.
  • Should be comfortable working in a fast-paced environment.
  • Must be attentive to detail, a good communicator, and an active listener.
 

Compensation:

 

A reasonable estimate of the current base pay range for this position in Canada is $146,400 to $183,000, annually + 20% as target incentives.   

 

Actual salary will be based on a variety of factors, including location, experience, skill set, education, and related certification. The range for this position in other geographic locations may differ.
